1. The agreement
These Terms of Service ("Terms") form an agreement between you — the business that registers for an account, together with everyone you allow to use it ("you", "your") — and Wafi Software ("Wafi", "we", "us"), whose registered address is House B/109, Road 08, Mohakhali DOHS, Dhaka 1206, Bangladesh.
You accept these Terms when you create an account, or when you use the service in any way. If you are accepting on behalf of a company or other organisation, you confirm that you are authorised to bind it. Our Privacy Policy forms part of this agreement.
2. What the service is
Wafi Software is a cloud business platform for small and medium businesses. One subscription covers the whole back office, whatever you sell:
- E-commerce order management — orders from your website, Facebook Messenger, WhatsApp, Telegram, phone and the counter, collected in a single list against one live stock.
- Point of sale (POS) — counter selling with barcode scanning, receipts and shift totals.
- Products & inventory — catalogue, pricing, multi-warehouse stock and low-stock alerts.
- Purchase & suppliers — purchase orders, goods received and supplier ledgers tied to stock.
- Accounting & reports — double-entry books, VAT-ready invoices, P&L, balance sheet and stock reports.
- Payroll, leave and a website CMS, plus integrations with payment gateways, couriers and marketplaces.
- Industry modules — for example titles, authors and royalty for publishers; size and colour variants for fashion; batch, weight and expiry tracking for grocery.
- Optional add-ons — the Customer Care AI Chatbot and Business Intellisense, each priced separately.
We improve the platform continuously. Features may be added, changed or retired; we will not make a change that materially removes core functionality from your paid plan without telling you first.
3. Your free month & free customization
One month free, including customization. Every new account gets its first month free. During that month we will also configure and customise the platform for your business — your chart of accounts, product structure, invoice and receipt formats, user roles and starting data — at no charge.
No advance payment. We do not ask for a card or any payment to start. No onboarding or setup cost. Configuration, data migration and team training during onboarding are included in the subscription, not billed separately. Cancel any time. There is no minimum contract term and no exit fee.
The free month starts on the day your account is created and runs for one calendar month. It applies to the base platform and to both optional add-ons if you switch them on during that month. Free customization covers configuration work within the platform's existing capabilities; bespoke software development, third-party licence fees and hardware are quoted separately and only ever with your written approval.
The free month is offered once per business. Creating multiple accounts to extend it is not permitted.
4. Your account
- Give us accurate registration details — including your business name, contact person, email, phone number and industry — and keep them current.
- You are responsible for everything done under your account, and for keeping credentials confidential. Tell us promptly at [email protected] if you suspect unauthorised access.
- You control your own users and their permissions. Anyone you invite must follow these Terms.
- You must be at least 18 years old and legally able to enter into a contract.
5. Fees, billing & taxes
Current prices are shown on our pricing page. Billing works like this:
- Billing starts after the free month — never before, and only if you choose to continue.
- Monthly or yearly, your choice. Yearly is discounted; you can move between the two at any renewal.
- Invoices are issued in advance of each period and are payable within the period stated on the invoice. Prices are quoted in Bangladeshi Taka (BDT) and exclude VAT and any other applicable taxes, which are added where the law requires.
- Add-ons are billed on the same cycle as your base plan and can be switched off at the end of any period.
- We may change prices with at least 30 days' notice. A change never applies to a period you have already paid for, and if you do not accept it you may cancel before it takes effect.
If an invoice is unpaid past its due date we will contact you. If it remains unpaid we may suspend the account, as described in section 14.
6. Cancelling & refunds
You can cancel whenever you like, from inside the app or by emailing [email protected]. Cancellation takes effect at the end of the period you have already paid for, and no further invoices are raised. There is no cancellation fee and no notice period.
Fees already paid for a started period are not refundable, except where we have failed to provide the service and could not put it right, or where the law says otherwise. If you cancel during the free month, you owe us nothing.
Before your account closes you may export your data — see section 7.
7. Your data
Your data stays yours. Everything you or your customers put into the platform — products, orders, invoices, ledgers, messages, files and reports — belongs to you. We process it to run the service for you, as set out in our Privacy Policy, and for no other purpose.
- Export. You can export your core records to PDF, Excel or CSV at any time while your account is active, and for 30 days after it closes. Ask us and we will help.
- Deletion. After that 30-day window we delete or irreversibly anonymise your data, except where we must keep records to meet a legal or accounting obligation.
- Backups. We keep regular encrypted backups, but you remain responsible for exporting anything you need to retain independently.
- Your responsibility. You confirm you have the right to put the data you upload into the platform — including personal data about your customers and staff — and that doing so does not breach any law or agreement.
8. Acceptable use
Please do not:
- use the service to break the law, or to sell goods or services you are not licensed to sell;
- send unsolicited bulk messages, or use connected channels in breach of their own policies;
- upload malware, attempt to access other customers' data, or probe, scan or overload our infrastructure;
- copy, resell, sublicense or white-label the platform without our written agreement;
- reverse-engineer the platform, or use it to build a competing product;
- remove or obscure any proprietary notice.
9. Connected channels & third parties
The platform can connect to services we do not control — WhatsApp Business, Facebook Messenger, Telegram, payment gateways, courier and marketplace APIs, SMS providers and others. Your use of each remains subject to that provider's own terms, and you are responsible for holding the accounts and consents they require. If a provider changes or withdraws its API, the related feature may change or stop working; we will find an alternative where we reasonably can, but we are not liable for a third party's actions or downtime.
10. AI features
Some features generate content or suggestions using AI — the customer-care chatbot, the content studio, demand forecasting and Business Intellisense among them. Two things to keep in mind:
- Output needs review. AI output can be wrong or incomplete. Forecasts, drafted content and automated replies are decision support, not professional advice, and you remain responsible for what you publish, send or act upon.
- What we train on. AI features are grounded in your own business data so answers reflect your catalogue, prices, stock and policies. We do not use your business data to train models that serve other customers. Details are in the Privacy Policy.
11. Availability & support
We aim for 99.5% monthly uptime, excluding planned maintenance, which we schedule for off-peak hours and announce in advance where we can. Support, product updates and bug fixes are included in every subscription at no extra charge — by email at [email protected], by phone and WhatsApp on +880 1790-591869, and in-app during business hours (Sunday–Thursday, 10:00–19:00 Bangladesh time). The optional AI chatbot answers your customers around the clock.
12. Intellectual property
The platform, its software, design, documentation and brand are owned by Wafi Software and its licensors. We grant you a non-exclusive, non-transferable right to use the platform for your own business for as long as your subscription is active. Nothing else transfers to you. Any configuration or customisation we build for you as part of onboarding remains part of the platform, while the data and content inside it remain yours.
If you send us feedback or a feature request, we may act on it freely and without obligation — and we appreciate it.
13. Warranties & liability
We provide the service with reasonable skill and care, and we will keep it substantially in line with what we describe on this website. Beyond that, and to the extent the law allows, the service is provided "as is": we do not warrant that it will be uninterrupted or error-free, or that it will meet a requirement we have not agreed with you in writing.
To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of goodwill or loss of data caused by circumstances outside its reasonable control. Our total liability for any claim arising out of this agreement is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these Terms limits liability for fraud, wilful misconduct, or anything else that cannot lawfully be limited.
14. Suspension & termination
We may suspend or close an account if fees remain unpaid after we have given notice, if section 8 is breached, or if we are required to by law. Where circumstances allow we will warn you first and give you a reasonable chance to put things right. You may cancel at any time under section 6. On termination your right to use the platform ends, and the export and deletion timings in section 7 apply.
15. Changes to these terms
We may update these Terms as the platform and the law evolve. For a material change we will give you at least 30 days' notice by email or in-app before it takes effect; continuing to use the service after that date means you accept the updated Terms. If you do not accept them, you may cancel under section 6. The "last updated" date at the top always reflects the current version.
16. Governing law
These Terms are governed by the laws of the People's Republic of Bangladesh, and the courts of Dhaka have exclusive jurisdiction over any dispute. Before going to court, we both agree to try to resolve the matter in good faith — reach out and we will do the same.
If any provision of these Terms is found unenforceable, the rest continues to apply. Our failure to enforce a provision is not a waiver of it. You may not transfer this agreement without our consent; we may transfer it as part of a merger, acquisition or sale of assets, on notice to you.
